These terms govern the use of RestoAudit.ai and form the agreement between you and SIA «IT Hospitality» (Katrīnas iela 5, LV-1045 Rīga, Latvia; registration number 40203196322). No separate contract is signed: you accept these terms when you register.
Business use only
RestoAudit.ai is intended for use in the course of business. We do not provide services to consumers, and consumer protection law does not apply to this relationship.
What we provide
Intake and recognition of incoming supplier documents, matching of line items to your product catalogue, purchase price monitoring with signals on deviations, food cost calculation, reconciliation against your accountant's export, and transfer of documents into your back office - after confirmation or automatically, under a rule you enabled for the supplier. The set of features depends on the plan you choose.
Access and account
You are responsible for keeping your credentials safe and for the actions of the users you grant access to. Tell us without delay if you lose control of an account.
Plans and payment
Current plans and what each includes are published on our website; that is the single source of pricing and these terms do not duplicate it. Payment is made in advance, before the paid period begins. We do not send invoices by email - payment happens inside the service.
Document volume
Every plan includes a volume of documents digitised at no extra charge. A document is any processed document - incoming invoice, outgoing invoice, credit note, return - regardless of the number of lines or the format. All of them draw on the same volume.
Documents beyond the included volume are processed and charged at the per-document rate published on the pricing page, payable monthly. To keep spending under control, RestoAudit applies a ceiling of 500 documents per period. On reaching the ceiling RestoAudit may place a hold on your payment method for the amount of the overage until the end of the period. If no payment method is attached, acceptance of new documents is paused until the next period begins or until you move to a plan with a larger volume.
The volume is counted by documents processed within the paid period; cancelled and hidden documents are not counted. Documents and data already uploaded remain fully available.
Trial period
The length of the free trial is stated at registration and may differ for invited users. When it ends, payment details are required to continue. If you do not provide them, access to paid features stops, but your data remains - see the section on termination. During the trial a separate document volume applies, stated at sign-up; on reaching it acceptance is paused, while work with the data already uploaded continues.
When you work with your own data from 20 documents or connect a back office system, you need to confirm your identity within three days. Until the decision, access remains in full. If the period expires without confirmation, intake of new documents and export to the back office are paused, while work with the data already uploaded continues.
Recurring payments
Card payments are handled by a payment provider. We do not store card details: the provider stores them and gives us an opaque identifier. Recurring charges are made only on the basis of the consent you give when adding a card; you can withdraw it at any time in settings or by email.
If a charge fails, we retry. If payment has not arrived within three days of the start of the paid period, access is restricted until it does. Restricting access does not mean deleting data.
Your data
Documents, reference data and processing results remain yours. We process them on your instructions - as a processor in GDPR terms - to the extent needed to deliver the service. Details are in the Privacy Policy. The terms of personal data processing under Art. 28 GDPR are published as a separate document and accepted together with these terms.
Service availability
We aim for uninterrupted operation but at this stage give no availability guarantee expressed as a percentage: promising a figure we do not yet measure publicly would not be honest. Planned work is carried out outside business hours and announced at least twenty-four hours in advance. We report an unplanned interruption within an hour of learning about it ourselves.
Document processing is asynchronous: an interruption in the interface does not mean documents are lost - emails and messages are accepted and processed once service is restored.
Requests and response times
There are three ways to raise a request: the feedback button on any screen of the application, the "send to support" button on a signal card - which attaches the context by itself - or an email to hello@restoaudit.ai. Every request is registered, receives a status and a priority, and is tracked until it is closed; where needed it becomes a development task.
The times below are response times - a reply from a person with an assessment of the situation - not resolution times. How long a fix takes depends on the cause and is not promised in advance.
Business hours: Monday to Friday, 09:00-18:00 Riga time (EET/EEST), excluding Latvian public holidays.
- Critical blocker: the service is unavailable, documents are not accepted or not processed - response within 4 business hours.
- Data error: a document was recognised incorrectly, a signal is false, an export fails - response within 1 business day.
- A feature not working correctly, unrelated to recognition quality - response within 3 business days.
- Question, suggestion, configuration request - response within 7 business days.
We assign the class of a request and state it in our reply, so it is clear which time applies. If you believe the class is understated, say so in the same request and we will review it.
A separate service level with a guaranteed availability figure and shorter response times can be agreed for restaurant groups, in writing and separately from these terms.
Acceptable use
You must not attempt to circumvent access controls, probe the service for vulnerabilities without our written consent, resell access to third parties, or upload data unrelated to your business activity. On reasonable suspicion of abuse we may restrict access, notifying you and stating the reason.
Liability
The service is provided "as is". We do not guarantee one hundred per cent recognition accuracy or the detection of every possible deviation: decisions about supplier payments and accounting entries are yours. Our aggregate liability under these terms is limited to the amount actually paid by you in the twelve months preceding the event. This limitation does not apply to intent or gross negligence, or where the law does not permit limitation of liability.
Term and termination
Either party may end the relationship in the manner set out in the agreement. After the service ends we delete or return your data at your choice; on your request within 14 days; absent instructions, data is deleted within the period stated in the Privacy Policy. Our accounting records of the payments between us are kept for the period required by law.
If, in addition to the subscription, you use the operator service - the back office run by RestoAudit under a separate agreement - ending that service does not end the subscription and does not affect your data: the account, its history and export remain available for as long as the subscription is in force.
Changes to these terms
We may change these terms. We notify you of material changes by email to the address on the account, at least thirty days in advance. If the changes do not suit you, you may stop using the service before they take effect.
Intellectual property
The code, design, algorithms and documentation of RestoAudit.ai belong to SIA «IT Hospitality». These terms grant you no rights to them beyond the right to use the service for the duration of your subscription.
Governing law and disputes
These terms are governed by the law of the Republic of Latvia. Disputes that cannot be settled by negotiation are heard by the courts of the Republic of Latvia at the provider's registered seat, in Rīga.
